Quadrix Solutions Policy
Regarding Acceptable Use
The policy ("Policy") set forth below describes acceptable and unacceptable practices while using Quadrix computers, networks, and Internet Access Services (the "Services"). By using the Services, you acknowledge that you have read, understood and agree to abide by the Policy. You also acknowledge and agree that you will ensure that your customers and end users abide by the Policy and that you will be responsible for violations of the Policy by third parties that gain access to the Services through your account. The Policy applies to all aspects of the Services, including e-mail, USENET postings, chatting, browsing, and the serving of content to others.
General
The Policy is designed to help protect the Services, Quadrix’s customers and the Internet community as a whole from improper and illegal activity. In using the Services, you are to behave reasonably and adhere to commonly accepted practices of the Internet community. The policies listed below are intended to serve as guidelines regarding appropriate and inappropriate conduct; the list is by no means exhaustive and should not be interpreted as such.
Rights of Quadrix
If you engage in conduct while using the Services that is in violation of the Policy or is otherwise illegal or improper, Quadrix reserves the right to suspend your access to the Services without notification and to take any other appropriate actions, legal or otherwise, against you for violations of the Policy. This may include termination of your Services. Quadrix does not make any promise, nor does it have any obligation, to monitor or police activity using the Services and will have no liability to you or any other party for suspension or termination of your Services as a result of any violation of the Policies by you or your customers.
- Unauthorized Access/Interference
You may not attempt to gain unauthorized access to, or attempt to interfere with or compromise the normal functioning, operation or security of any network, system, computing facility, equipment, data or information. You may not use the Services to engage in any activities that may interfere with the ability of others to access or use the Services or the Internet. You may not use the Services to monitor any data, information or communications on any network or system not owned by You without authorization or to gain unauthorized access to the user accounts or passwords of other users.
- UCE/Spamming/Mailbombing
The Services may not be used to transmit large volumes of unsolicited commercial e-mail messages or deliberately send very large e-mail messages to one recipient. Any unsolicited commercial e-mail message or a series of unsolicited commercial e-mail messages or large e-mail messages sent to one recipient constitutes Unsolicited Commercial Email ("UCE") and is prohibited. In addition, "spamming" or "mailbombing" is also prohibited. The only e-mail lists You may use for sending e-mail to large numbers of recipients are ones that are explicitly “Opt-in.” “Opt-in” means that you can prove that the recipient explicitly requested inclusion on the e-mail list in question by direct action. Lists whose recipients are included by default and must take action to remove themselves (“Opt-out”) are expressly prohibited. You may not use the Services to collect responses from mass unsolicited e-mail messages. This means that if Your e-mail address, web site URL, or any other reference identifying You or Your company is included in any UCE messages, this constitutes a violation of this Policy.
- Spoofing/Fraud
The Services may not be used to attempt to send e-mail messages or transmit any electronic communications using a name or address of someone other than yourself for purposes of deception. Any attempt to impersonate someone else by altering your source IP address information or by using forged headers or other identifying information is prohibited. Any attempt to fraudulently conceal, forge or otherwise falsify your identity in connection with use of the Services is prohibited.
- E-Mail Relay
Any use of another party's electronic mail server to relay e-mail without express permission from such other party is prohibited.
- USENET Postings
All postings to USENET groups must comply with that group's charter and other policies. You are prohibited from cross posting to unrelated news groups or to any news groups where the post does not meet that group’s charter. Continued posting of off-topic messages, including commercial messages (unless specifically invited by charter), is prohibited
- llegal Activity
You agree to use the Services only for lawful purposes. Use of the Services for transmission, distribution, retrieval or storage of any information, data or other material in violation of any applicable law or regulation (including, where applicable any tariff or treaty) is prohibited. This includes, without limitation, the use or transmission of any data or material protected by copyright, trademark, trade secret, patent or other intellectual property right without proper authorization and the transmission of any material that constitutes an illegal threat, violates export control laws or is obscene, pornographic, indecent, defamatory or otherwise unlawful. While it is not Quadrix’s intent to control or monitor online activity or the content of online communications, Quadrix may edit or remove content that it deems to be in violation of the Policy or that Quadrix otherwise deems harmful or offensive, and Quadrix shall have no liability to you or any third party for doing so.
- Other Prohibited Activities
The following activities are also prohibited:
- Attempting to intercept, redirect or otherwise interfere with communications intended for others.
- Intentionally transmitting files containing a computer virus or corrupted data.
- Using the Services to threaten, harass, stalk, abuse or otherwise violate the legal rights of others.
- Any other inappropriate activity or abuse of the Services (as determined by Quadrix in its sole discretion), whether or not specifically listed in these Policies, may result in suspension or termination of your access to and use of the Services.
- Cooperation with Investigations
Quadrix will cooperate with appropriate law enforcement and other governmental agencies and other parties involved in investigating claims of illegal or inappropriate activity, and shall have no liability to you or any third party for any actions taken in connection with such cooperation.
- Privacy
The Internet is an inherently open and insecure means of communication. Therefore, any data or information transmitted over the Internet may be susceptible to interception and alteration. Quadrix makes no guarantee regarding, and assumes no liability for, the security and integrity of any data or information you transmit via the Services or over the Internet, including any data or information transmitted via any server designated as "secure."
- Transfer of Account
You may not transfer your account to anyone without our prior written consent.
- Excessive Usage
If we have specified bandwidth limitations for your user account, you may not use the Services in excess of those limitations.
- Dial-Up Internet Access
The following Policies apply if your account includes accessing the Services through a Dial Up connection:

If there are specified bandwidth limitations for your user account, you may not use the Services in excess of those limitations. Also, if you are accessing the Services via a dial-up connection, Quadrix may terminate your user session if you are connected for more than 4 consecutive hours in order to protect our network resources and maintain the Services’ availability for others.
- Restrictions on Use of Account
It is your responsibility to keep your password secure. You may not share your password or user account with any other party. You may not resell or lease the Services or any portion thereof. You may not log-on to more than one user session at a time. You may not offer any public information service via the Services (including running a web server or FTP server).
- Inactivity Disconnects
You may keep your user session connected only when you are actively using the Services. Quadrix may disconnect your user session if there appears to be no interactive activity within a 15 consecutive minute time period. Activity that is automatically generated by your computer system through automated programs, scripts, re-
dialers or any other software or hardware device will not be considered "interactive." The use of any automated method to avoid inactivity disconnects or to automatically reinstate an inactive connection is prohibited.
If you become aware of any violation of the Policy by any person, including third parties that have accessed the Services through your account, please notify us at abuse@quadrix.com, or through your designated Single Point of Contact (SPOC) within Quadrix.
Modifications
Quadrix reserves the right to modify these Policies from time-to-time in its sole discretion. Quadrix will notify you of any such modifications either via e-mail or by posting a revised copy of the Policies on its website. You agree to review these Policies from time to time on a regular basis, and in any event, at least monthly.
